11.  The board stonewalls

Dear John and Fred:

The League of American Bicyclists board of directors met on April 16, 2003 and discussed a number of items surrounding the election, including several you had raised.

The attached memo entitled "Statement of League board election process and timeline 2003" provides guidance for several issues regarding the verification and counting of ballots.  The board discussed these items in depth, and we are confident these guidelines will continue the high standards of integrity surrounding the process.

On April 14th and 15th, you delivered a letter to me and other board members, asking that the current election process be halted and a new election process begun.

As a board, our obligation and responsibility is to follow the bylaws of this organization as well as abiding by Illinois non-for-profit code.  Halting the election process at this point would be inconsistent with both.

A lawyer joined us for the board meeting.  After a careful analysis of the election process and procedures as well as your allegations, he assured us that he saw no significant problems with the election and no compelling reason to invalidate the process.

The League board believes that it is in the best overall interests of the League to go forward with the election under the procedures described in the attached Statement of League board election process and timeline 2003.

The board strongly rejects any allegations of impropriety on the part of the League staff.  They have been meticulous in their handling of the ballots and have not been involved in any way in campaigning or otherwise supporting any candidates.

The board agrees that there are several areas in which the election process can be clarified and made more consistent.  We pledge to work with you and other League members to continue to improve the League’s election process.
